Retailer Terms and Conditions
Acceptance. By registering for an account and ticking the acceptance box during registration, the Retailer confirms that it has read, understood and agrees to be bound by these Terms and Conditions. This forms a legally binding agreement with Renticy Limited, company number 15587682, registered office: Unit C150, Stafford Enterprise Park, Staffordshire, ST18 0BF, United Kingdom.
1. General
- Renticy acts as an intermediary between the Retailer and a Customer. The Retailer remains the owner of all products or services that are rented through Renticy.
- Renticy reserves the right to reject rental applications by Customers at its sole discretion.
- The maximum duration of any fixed term rental agreement between the Retailer and a Customer shall not exceed three months. A flexible, monthly rolling rental term may also be offered, which may renew up to a maximum of twelve monthly renewals. Customers may cancel at the end of any monthly period by returning the goods.
- Rental agreements entered into by Customers are unregulated.
2. Changes
Renticy may vary these Terms on three months’ written notice to the Retailer.
3. Warranties
The Retailer warrants that:
- It will perform with the care, skill and diligence of a competent and experienced provider and in line with current best practice.
- Products comply in all material respects with the most recent published specification.
- It has full capacity and authority to enter into these Terms.
- All services to Customers shall be provided with reasonable care and skill by suitably qualified personnel.
- It will use reasonable endeavours to meet Customer delivery times and dates.
- It will process Personal Data provided by Renticy in compliance with Data Protection Legislation.
Renticy is under no obligation to provide a minimum amount of rental orders.
4. Terms of Payment
Transaction fees apply to all transactions processed through the Renticy platform (subject to VAT):

- Fees calculated excluding delivery and collection charges.
- Fees are non refundable once a rental order is confirmed.
- Renticy may charge a small customer service fee to customers per transaction.
- Special pricing will be set out in a signed schedule.
- All charges are subject to VAT.
4.1 Minimum Monthly Transaction Fee
A £30 per month minimum transaction fee requirement applies. If this is not met in a month, Renticy will charge the difference at month end via direct debit from the Retailer’s bank account.
4.2 30 Day Free Trial
Who gets it: Every new Retailer from the date of registration.
- Duration: 30 calendar days from the moment your account is created.
- What is waived: All Renticy transaction fees and the £30 minimum monthly transaction fee during the trial.
- What still applies: Any delivery or collection charges you set for customers. VAT rules remain unchanged.
- After day 30: Standard fees (this section 4) start automatically on day 31.
- Example: If you register on 10 March, your free trial runs until 8 April inclusive; fees apply from 9 April.
- Retailer cancellation during the trial: You may cancel your Retailer account at any time during the 30-day trial. If you cancel within the trial, no Renticy transaction fees or £30 minimum monthly transaction fee will be charged for the period of the trial.
Additional payment terms
- Renticy may review fees if costs increase and will notify at least one month before changes take effect.
- Upon receipt of proof of fulfilment (submitted before 3pm and where no disputes), payment for remittance will be submitted the next working day; bank remittance typically takes two business days. Payments are held until disputes are resolved.
- Customer cancellations: more than 24 hours before start – full refund; less than 24 hours – charged in full.
- If a product becomes unfit for purpose during the rental (not the Customer’s fault), the Retailer must repair or replace or refund the unused portion; sums received may need remitting within 48 hours in specific cases (errors, non compliance, fraud).
- Late return fee: full daily rental rate for each day late, up to the deposit value, remitted to Retailer minus transaction fees after return. Non return claims may be made after 7 days (see Renticy Protect).
- Retailer must notify Renticy of a non return within 24 hours of rental end by setting status to “Dispute”. No late fee until after a failed collection attempt where Retailer arranges collection. Renticy may waive fees if delay not customer’s fault. Order is classed as returned once received back or collected.
- For Flexi Rolling Monthly, the Customer can stop rolling by returning items or via successful collection.
5. Value Added Tax
- Where the Retailer is VAT registered: 20% VAT is included within the rental price and any delivery or collection charges paid by the Customer.
- Renticy remits the full inclusive of VAT value to the Retailer, less the Renticy transaction fee.
- Each party manages its own VAT position.
6. OWNit Transactions
- Where OWNit is enabled, Renticy Protect (ID verification) is included at no extra cost.
- Rental and purchase are two separate transactions, each subject to Renticy’s fees (see clause 4).
- The Retailer must provide its own purchase terms and conditions to the customer for any sale completed through OWNit.
- The purchase is facilitated via the platform; the contract is between Customer (buyer) and Retailer (seller).
- Retailer is solely responsible for returns, refunds, warranties and after sales support.
- Renticy may assist with communication or mediation but has no legal liability for post sale issues.
7. Renticy Protect
Claims Claims can be made during typical working hours (received next working day if submitted outside these hours). For Damaged Goods, Retailers have 48 hours from rental end to set status to “Dispute” and submit a completed claim form found at www.renticy.com/retailer. Target processing time is five to seven working days; payments (if due) are made the next working day after processing. Fair wear and tear is excluded.
For Non return, a claim may be made if goods are not returned or collected within seven days of rental end, with status set to “Dispute” within 48 hours. Some scenarios (for example courier proof of delivery) are excluded and must be claimed with the courier.
Payouts and coverage
- Damage claims: paid at fair market time and materials to restore to re-rentable condition, up to the fair market trade value (FMTV) minus amounts already remitted.
- Non return claims: paid at FMTV minus amounts already remitted.
- If deposit is less than 10% of retail value, cover includes fraud and non return or damage up to the deposit amount.
- Maximum retail value covered: £3,500.
- Rental payments already collected and paid to the Retailer count towards FMTV; uncollected rental payments are not covered.

E-bike theft exclusion. Theft of electric bicycles is excluded from cover, even with a crime reference number and absent customer fault. If theft arises from customer negligence, the customer remains liable and Renticy will collect the outstanding value per the Protect provision. Retailers should maintain separate insurance for E-bike theft.
8. Renticy Property
- IP in Renticy materials and systems remains available to Renticy for inspection and audit.
- Renticy grants the Retailer a non exclusive, royalty free licence to use marketing materials while these Terms are in force.
- The Retailer grants Renticy a non exclusive, royalty free licence to use its name, trademarks, designs and product photos while these Terms are in force.
- Otherwise, neither party may use the other’s IP without prior written consent.
9. Product Ownership
- The Retailer remains the owner of all products rented through the platform and is responsible for ensuring fitness for purpose and absence of defects.
- Renticy has no legal control or ownership over products.
- The Retailer is responsible for training requirements and ensuring customers can safely use items.
10. Retailer obligations to notify
The Retailer must notify Renticy immediately of:
- Any change in business address, ownership, directors, partners or controllers (particularly shareholdings 15% or more), trading name, or material capital structure changes.
- Any conviction of any owner, partner, director or controller.
- Any other material change (ownership, capital structure, financial situation) affecting capacity to perform obligations.
11. Confidentiality
Each party shall treat the other’s Confidential Information and IP as confidential, not disclose it without consent, and use it only for the intended purposes. Exemptions apply where information was already possessed without confidentiality obligations, obtained from a third party, public (not due to breach), or independently developed.
12. Data Protection
Both parties act as data controllers for Shared Personal Data and shall process it for the Agreed Purpose in compliance with UK GDPR, the DPA 2018 and PECR. No special category data is processed. Each party will obtain necessary permissions, cooperate on subject access requests, and implement appropriate technical and organisational measures.
13. Termination
Either party may terminate: (a) for convenience on 90 days’ written notice following the Retailer’s first 30 days on the platform; or (b) for cause with immediate effect for material breach not remedied within 30 days of notice. Clauses intended to survive termination do so; accrued rights and remedies are unaffected.
14. Consequences of termination on rental orders
On termination under clause 13, any pending rentals will be cancelled once notice has been served.
15. Indemnity and Liability
- The Retailer indemnifies Renticy for losses arising from Retailer breaches, negligent performance or non performance, customer claims about product quality, delivery or support, third party claims relating to supply of products, personal injury or property damage from defective products, and breaches of confidentiality or data protection; except where caused by Renticy’s negligence or wilful misconduct.
- Renticy indemnifies the Retailer for losses arising from Renticy’s breach (including negligent breach).
- Renticy is not liable for any loss or injury to a Customer due to defective products.
- Neither party is liable for indirect or consequential loss.
- Maximum liability of Renticy (including under indemnity) is limited to the fees payable by the Retailer to Renticy in the 12 months preceding the claim.
16. Force Majeure
On written notice specifying the circumstances, a party prevented or delayed by Force Majeure has no liability for affected obligations during the event and for reasonable time thereafter while recommencing operations.
17. Notices
Notices must be in writing and sent to the party’s nominated address or email address.
18. No partnership or agency
These Terms do not create a partnership or joint venture. Neither party may bind the other.
19. Third party rights
No third party has the right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999 unless expressly granted.
20. Set off
Renticy may set off any liability of the Retailer against any liability of Renticy to the Retailer.
21. Waiver and remedies
No waiver of any breach is a waiver of subsequent breaches. No delay in exercising rights is a waiver of those rights.
22. Entire agreement
These Terms and referenced documents constitute the whole agreement between the parties regarding the subject matter.
23. Governing Law and Jurisdiction
These Terms and any subsequent schedule are governed by the laws of England and Wales. Parties submit to the exclusive jurisdiction of the English courts.
24. Definitions
Key defined terms used within these Terms include: Confidential Information, Data Protection Legislation, Agreed Purpose, Shared Personal Data, Customer, Rental Agreement, Intellectual Property Rights and Force Majeure.

Confidential Information – Information in any form relating to either party’s business, clients, customers, products, affairs and finances, including trade secrets (technical data and know how). Details of any subsequently agreed schedule are also confidential.
Data Protection Legislation – All applicable UK data protection and privacy legislation, including the UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations 2003, as amended.
Agreed Purpose – Use of the Renticy Platform by the Retailer to enable customers to rent items for a period of less than three months.
Shared Personal Data – Personal data shared between the Retailer and Renticy Limited, as set out in clause 12.
Customer – Any person using the Renticy platform to rent products from the Retailer.
Rental Agreement – An agreement between Customer and Retailer, facilitated by Renticy once a rental order is originated.
Intellectual Property Rights – All intellectual property rights (registered or unregistered), applications, renewals and extensions worldwide.
Force Majeure – Events beyond a party’s reasonable control preventing performance, including strikes, acts of God, war, terrorist activity, contamination, civil commotion, malicious damage, compliance with law, accident, power failure, breakdown, fire, flood, storm, epidemic, supplier default, and difficulties obtaining materials or complying with import or export regulations.
Retailer Acceptance
By ticking the acceptance box when submitting registration on the Renticy platform, you confirm on behalf of your company that you have read, understood and agree to be bound by these Terms and Conditions. This action forms a legally binding agreement between your company and Renticy Limited.
